Welcome to Caplift Financial Inc. ("we," "our," "us"), a corporation existing under the laws of Canada. By accessing or using our website, application, and platform services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.
Caplift is a software platform that provides funding-readiness assessments, lender-matching tools, deal preparation workflows, and informational outputs to businesses and their advisors. The platform also includes a marketplace feature, available only to eligible users who satisfy additional verification and compliance requirements, through which a seller may list a complete credit obligation and an eligible buyer may acquire it in a direct, bilateral transfer between those parties.
In all cases — including marketplace transactions — Caplift acts solely as a technology platform. Caplift is not a party to, broker of, or advisor on any transaction between users; does not hold, custody, or control any party's funds, assets, or obligations; does not act as counterparty, market maker, or reserve holder; and does not guarantee the performance, value, or enforceability of any obligation listed or transferred. All rights, obligations, settlement, and recourse in a marketplace transaction run between the buyer and the seller. Each party is solely responsible for its own due diligence, eligibility, and compliance with applicable securities, lending, and other laws in its jurisdiction.
To access certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us at admin@caplift.ca of any unauthorized use of your account or any other security breach. We will not be liable for any loss resulting from unauthorized use of your account.
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:
Our Services are designed to help businesses find financing options. You represent that all information provided during the assessment process is accurate and truthful. We reserve the right to suspend or terminate your access if we suspect fraudulent activity, misrepresentation, or misuse of the platform.
Certain features of the Services are available only on a paid subscription basis. By subscribing, you authorize us to charge your payment method on a recurring basis at the then-current subscription rate.
You may cancel your subscription at any time through your account settings or by contacting us at admin@caplift.ca. Cancellation takes effect at the end of the current billing period; you will retain access to paid features until that date. We do not offer prorated refunds for partial billing periods except where required by applicable law. If you believe you have been charged in error, contact us within 30 days of the charge and we will investigate.
Caplift provides information and tools for informational and workflow-support purposes only. We are not a financial advisor, bank, broker-dealer, or lender. The financing options and assessment outputs presented are estimates based on data you provide and do not constitute a guarantee of funding, an offer of credit, investment advice, or a regulated financial service. You should consult qualified financial, legal, and tax professionals before making any financial decisions.
Portions of the Services — including assessments, market intelligence, and conversational assistants — are generated using artificial intelligence. AI-generated outputs may be incomplete, outdated, or incorrect, and may not reflect current market conditions or the laws of your jurisdiction. You are responsible for independently verifying any AI-generated output before relying on it.
Your use of the Services is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy. Caplift complies with applicable Canadian privacy legislation, including the Personal Information Protection and Electronic Documents Act (PIPEDA), and applicable international privacy laws.
The Services integrate with or link to third-party services (including payment processors, AI providers, and lender institutions). These third parties have their own terms and privacy policies, and we are not responsible for their practices. Your use of third-party services is governed by their respective terms. We are not liable for any damage or loss caused by your reliance on any third-party service.
All content, features, and functionality of our Services, including but not limited to text, graphics, logos, and software, are the exclusive property of Caplift and are protected by international copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of the Services without our prior written consent.
We reserve the right to suspend or terminate your account and access to the Services at any time, with or without notice, for conduct that we determine violates these Terms, applicable law, or is harmful to other users, us, or third parties. Upon termination, your right to use the Services will immediately cease. You may request deletion of your account data as described in our Privacy Policy. Provisions of these Terms that by their nature should survive termination will survive, including intellectual property ownership, disclaimer of warranties, limitation of liability, and governing law.
The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or usefulness of any information provided through the Services.
You agree to indemnify, defend, and hold harmless Caplift and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) any claim that your use of the Services caused damage to a third party.
To the fullest extent permitted by applicable law, Caplift shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Services; (b) any conduct or content of any third party on the Services; or (c) any assessment outputs or lender recommendations generated by the Services. To the maximum extent permitted by applicable law, Caplift's total liability to you for all claims arising from or relating to these Terms or the Services is expressly disclaimed. Where applicable law does not permit a complete disclaimer of liability, our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts of the Province of Ontario for the resolution of any disputes arising from or relating to these Terms or the Services.
Before initiating any formal legal proceeding, you agree to contact us at admin@caplift.ca and attempt to resolve the dispute informally. If we cannot resolve the dispute within thirty (30) days, either party may pursue available legal remedies. Any formal action must be brought in the courts of the Province of Ontario.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes affecting your rights or obligations, we will also provide notice by email where we hold your email address. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms.
Caplift may monitor usage patterns across the platform and may throttle, restrict, or suspend access to assessment and AI-powered features for accounts that our systems identify as abusing or gaming the platform. Such measures are applied at our discretion and without prior notice.
